Terms of Service
Terms governing your use of SnapAgenda, including captured content, event creation, calendar organization, sharing, invitations, and related services.
1. Agreement to these Terms
These Terms of Service (“Terms”) are a binding agreement between you and Lavitatech LLC, which operates the SnapAgenda brand (“SnapAgenda,” “we,” “us,” or “our”). These Terms govern your access to and use of the SnapAgenda mobile application, websites, calendar tools, image and document processing features, event creation tools, sharing features, communications, and related services (collectively, the “Services”).
By creating an account, accessing or using the Services, or accepting these Terms in the application, you agree to these Terms, our Privacy Policy, our Platform Policies, and any additional terms presented for a particular feature.
If you do not agree, do not access or use the Services.
2. Eligibility and accounts
You must be legally permitted to use the Services and to enter into these Terms. If you create an account, you agree to provide accurate information and to protect your authentication credentials and account access.
You may not impersonate another person, create an account for fraudulent purposes, obtain unauthorized access to another account, or use another person's credentials without permission.
3. What SnapAgenda provides
SnapAgenda provides tools intended to help users organize schedules and calendar information. Depending on feature availability, users may capture or upload photographs, screenshots, flyers, invitations, meeting materials, agendas, notes, or other content; receive suggested event information; review and edit event details; add events to supported calendars; organize agendas; create events; share calendar-related information; and send or receive invitations.
Features may be introduced, modified, limited, suspended, replaced, or discontinued. We do not guarantee that every feature or integration will always be available.
4. Automated analysis and event information
SnapAgenda may use automated systems to interpret content and suggest information such as event titles, dates, times, locations, descriptions, or other calendar details.
Automated results can be incomplete, inaccurate, ambiguous, or incorrect. You are responsible for reviewing all suggested information before creating, saving, sending, sharing, or relying on an event.
You should independently verify important deadlines, reservations, appointments, meetings, travel arrangements, examinations, legal obligations, medical appointments, financial deadlines, emergency information, and other time-sensitive matters.
SnapAgenda is an organizational tool and does not guarantee the accuracy, completeness, interpretation, delivery, or timing of generated calendar information.
5. Calendar access and event creation
Certain features may request permission to interact with a calendar available on your device or through a supported service. You control calendar permissions through the operating system and applicable service settings.
You are responsible for confirming event details before adding them to a calendar. SnapAgenda is not responsible for a missed appointment, duplicate event, incorrect date or time, calendar conflict, incorrect time zone, unintended deletion, failed synchronization, or other consequence resulting from inaccurate information or a third-party calendar service.
6. Captured and uploaded content
You are responsible for photographs, screenshots, documents, notes, agendas, invitations, images, text, and other materials you submit to the Services (“User Content”).
You represent that you have the legal right to submit User Content and to permit SnapAgenda to process it for the purpose requested by you.
Do not submit content when doing so would violate copyright, privacy, confidentiality, contractual obligations, trade-secret rights, applicable law, or the rights of another person.
You should avoid submitting passwords, authentication codes, full payment-card information, government identification numbers, or other information that is not reasonably necessary for the calendar-related task.
7. User Content and limited processing rights
You retain ownership of your User Content. You grant SnapAgenda a non-exclusive, worldwide, royalty-free license to host, transmit, process, reproduce, format, and otherwise use User Content only as reasonably necessary to provide, operate, secure, support, and improve the Services or comply with law.
This license does not transfer ownership of your User Content to SnapAgenda.
9. Prohibited uses
You may not use the Services to:
- violate applicable law or another person's rights;
- submit content you do not have a right to process;
- harass, threaten, stalk, exploit, or impersonate others;
- send fraudulent, deceptive, or malicious invitations;
- conduct phishing, credential theft, malware distribution, fraud, or other abusive activity;
- interfere with security, authentication, or access controls;
- probe, scan, or test systems without authorization;
- scrape or extract data in an unauthorized manner;
- reverse engineer the Services except where applicable law expressly prohibits that restriction;
- circumvent usage limits or security measures;
- use the Services to build or train a competing product from proprietary SnapAgenda materials or outputs where prohibited by law.
10. SnapAgenda intellectual property
SnapAgenda's software, source code, object code, interfaces, visual design, branding, logos, workflows, product concepts, event-processing systems, organization methods, prompts, integrations, technical architecture, databases, original text, graphics, and other proprietary materials are owned by or licensed to Lavitatech LLC and are protected by intellectual property and other laws.
Except for the limited right to use the Services under these Terms, no intellectual-property rights are granted to you.
You may not copy, reproduce, republish, distribute, sell, license, decompile, disassemble, reverse engineer, create derivative products from, or misuse SnapAgenda proprietary materials except to the extent applicable law expressly prohibits a restriction.
These Terms do not disclose or license SnapAgenda's confidential information, source code, system prompts, model configuration, security controls, internal processing logic, architecture, product roadmap, or trade secrets.
11. Third-party services
SnapAgenda may interoperate with third-party services such as authentication providers, calendar services, operating-system services, cloud infrastructure, artificial-intelligence services, and other technology providers.
Third-party services are subject to their own terms, privacy practices, availability, and technical limitations. SnapAgenda is not responsible for an independent third-party service merely because it interoperates with the Services.
12. Availability and changes
We may change, update, suspend, restrict, or discontinue any portion of the Services. We do not guarantee uninterrupted or error-free availability, compatibility with every device, continued availability of a third-party integration, or preservation of a particular feature.
13. Suspension, termination, and deletion
You may stop using SnapAgenda at any time and may use available account-deletion controls.
We may restrict, suspend, or terminate access where reasonably necessary to address a material or repeated violation of these Terms or Platform Policies, fraud, abuse, security risk, intellectual-property infringement, unlawful activity, or risk to SnapAgenda or others.
Certain records may be retained where reasonably necessary for security, fraud prevention, dispute resolution, legal compliance, or other lawful purposes.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SNAPAGENDA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
SNAPAGENDA DOES NOT WARRANT THAT AUTOMATED ANALYSIS WILL CORRECTLY IDENTIFY AN EVENT, DATE, TIME, LOCATION, PARTICIPANT, DESCRIPTION, TIME ZONE, DEADLINE, OR OTHER INFORMATION.
SNAPAGENDA DOES NOT WARRANT THAT AN EVENT OR INVITATION WILL BE SUCCESSFULLY CREATED, SAVED, DELIVERED, SYNCHRONIZED, DISPLAYED, OR RECEIVED.
Some jurisdictions do not allow certain warranty disclaimers, so portions of this section may not apply to you.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNAPAGENDA, LAVITATECH LLC, AND THEIR MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, MISSED EVENTS, MISSED APPOINTMENTS, MISSED DEADLINES, CALENDAR CONFLICTS, FAILED INVITATIONS, THIRD-PARTY SERVICE FAILURES, OR DECISIONS BASED ON AUTOMATED OUTPUT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO SNAPAGENDA DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
16. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Lavitatech LLC and its members, managers, officers, employees, contractors, and affiliates from third-party claims, damages, losses, liabilities, judgments, costs, and reasonable legal fees arising from your User Content, your misuse of the Services, your violation of these Terms or applicable law, or your infringement of third-party rights.
17. Dispute resolution
Before filing a formal claim, please contact us at support@lavitatech.com so the parties can attempt to resolve the matter informally.
Except for claims eligible for small-claims court, requests for emergency injunctive relief involving intellectual property, fraud, account security, or unauthorized access, and claims that cannot legally be arbitrated, you and Lavitatech LLC agree that disputes arising from these Terms or the Services will be resolved by binding individual arbitration under the Federal Arbitration Act and applicable consumer arbitration rules.
To the maximum extent permitted by law, disputes must be brought in an individual capacity and not as a plaintiff or class member in a class, collective, consolidated, mass, or representative proceeding.
You may opt out of this arbitration provision by emailing support@lavitatech.com within 30 days after first accepting these Terms. Include your name, account email, and a clear statement that you are opting out of arbitration.
18. Governing law
The Federal Arbitration Act governs the arbitration provisions above. For matters not subject to arbitration, these Terms are governed by the laws applicable in the U.S. state where Lavitatech LLC maintains its principal place of business, without regard to conflict-of-law principles, except where applicable law requires otherwise.
19. Apple App Store terms
If you obtain SnapAgenda through Apple's App Store, your license to the application is also subject to Apple's applicable end-user license terms. Unless another valid EULA applies, the Apple Standard EULA applies.
20. Changes to these Terms
We may update these Terms to reflect changes in the Services, law, security practices, or business operations. We will post the updated version with a revised effective date and provide additional notice where required by law.
